When traditional private equity firms or corporate retail chains acquire local nurseries, the real estate and inventory are absorbed into the acquiring entity. Still, the expert staff and community relationships are frequently dismantled.

 

"A great garden center is not replaceable," Lain explained. "Home Depot and Lowe's sell plants, but they can't tell you what grows in your specific neighborhood microclimate, remember your yard from last year, or host a class on why your tomatoes aren't producing. That expertise lives in people. When a local store closes, that knowledge scatters."

 

Pioneering the "Operator Equity" Model. To combat this, Garden Outfitters introduced an "Operator Equity" model, a structure built by garden center operators, for garden center operators.

 

Unlike traditional acquisitions, when Garden Outfitters partners with an IGC, the local owner's name stays on the building, and the existing staff remains employed. The financial and operational structure is designed to deliver significantly more long-term value than a standard cash-out sale.

 

Owners are offered flexible transition paths that allow them to step back from backend operational burdens while collecting cash at closing, ongoing property lease income, and profit distributions. They also receive equity in the growing Garden Outfitters national network.
